What Is the New Annual Report Requirement?
Starting January 1, 2025, all business entities and nonprofits registered in Pennsylvania are required to file an annual report with the Pennsylvania Department of State. This is a new requirement designed to keep business registration records accurate and up to date.
The filing is simple, but failure to file could result in administrative dissolution of your business, meaning your company would lose its good standing and legal rights in Pennsylvania.

Limited Liability Companies (LLCs)

Foreign Entities (companies formed outside PA but registered to do business in PA)

Be ready to provide:
Legal name of the entity
State where the entity was formed
Registered office address
Principal office/headquarters address
Name of at least one person with material management responsibility (“Governor”)
Names and titles of principal officers
Your PA Department of State entity number
What Happens If You Don’t File?
Risk of administrative dissolution starting in 2027
Loss of exclusive rights to your business name
Operations must cease if administratively dissolved
